Terms of Service

Welcome to Farm Base ("the Service," "we," "us," or "our"). By creating an account or using the Service you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
1. Acceptance of Terms
By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to these Terms, and that you have the legal authority to enter into a binding agreement on behalf of yourself or the organization you represent.
2. Description of Service
Farm Base is a cloud-hosted, multi-user farm management application for grain and crop operations, including features for inventory, record-keeping, planning, mapping, and reporting. The specific features available may be added to, modified, or discontinued at any time as the Service evolves.
The Service includes calculators and reference tools. These are provided as guidance only. You are solely responsible for verifying the accuracy, safety, and legality of any calculation — including chemical application rates, tank mixes, and volumetric conversions — against official manufacturer labels, certified agronomist advice, and applicable regulations before taking any operational action.
3. Service Plans and Usage Limits
The Service is offered under tiered plans that may impose limits on usage, such as the number of users, stored documents, storage capacity, mapped fields, and third-party API calls. Your current plan's limits are enforced by the Service. Plan assignments and changes are managed by the Service operator. We reserve the right to modify plan limits and pricing with reasonable notice.
4. Your Account
You are responsible for (a) keeping your password confidential, (b) all activity that occurs under your account, and (c) notifying us promptly of any unauthorized use. Accounts are personal and non-transferable unless explicitly permitted by the Service operator.
You agree to provide accurate information when creating your account and to keep it current.
5. Multi-User Farm Access
You may invite other users to your Farm account. As the account administrator, you are responsible for all activity by users you invite, and for ensuring that each invited user has read and agreed to these Terms. All members of a Farm can view all operational data entered into that Farm, subject to any role-based permissions you configure. If an invited user's access is removed, their personal account continues to exist but they will no longer have access to your Farm's data.
6. Your Data
You retain ownership of all operational data you enter into the Service (field records, load logs, spray records, equipment records, and similar). By using the Service, you grant us a limited, non-exclusive licence to store, process, and display your data solely for the purpose of providing the Service to you. We will not use your farm operational data for any commercial purpose unrelated to the operation of the Service.
7. Platform Administration
Farm Base operators (superusers) retain administrative access to all Farm accounts and user data for purposes of providing technical support, investigating security incidents, ensuring platform integrity, and complying with legal obligations. All such access is logged in our audit system and is subject to confidentiality obligations. We will not disclose your data to third parties except as described in our Privacy Policy.
8. Backup and Restore
The Service maintains automated backups of farm data. While we make reasonable efforts to maintain backup integrity, we do not warrant that backups are complete, current, or restorable on any particular schedule. You are responsible for maintaining your own copies of any data you cannot afford to lose. A self-service data export within the application lets you download a full copy of your farm data to maintain your own local backups.
9. Third-Party Services
The Service integrates with third-party providers to deliver certain features, including mapping, email delivery, and cloud storage for backups. Your use of these features is subject to those providers' terms of service. We may change the providers we use from time to time. We are not responsible for the availability, accuracy, or conduct of any third-party service.
10. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
- Attempt to gain unauthorized access to any part of the Service, other accounts, or related systems.
- Transmit malware, spam, or any content that is harmful, fraudulent, or misleading.
- Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service.
- Use the Service in a manner that could damage, disable, or impair its operation.
You represent that you hold all licences and certifications required to handle and apply any agricultural chemicals you record in the Service, and that you will comply with all applicable provincial and federal agricultural, environmental, and occupational health and safety laws.
11. Account Suspension and Termination
We may suspend or terminate your account or your Farm's access to the Service, with or without notice, if we determine that you have violated these Terms, that your account poses a security risk, that continuing service would expose us to legal liability, or that it is otherwise in the best interests of the Service and its users.
Upon termination, your right to use the Service ceases immediately. You may request an export of your data by contacting us within thirty (30) days of termination. After that period, we may delete your Farm's data in accordance with our Privacy Policy.
You may close your account at any time by contacting us. See our Privacy Policy for information on what happens to your data upon account closure.
12. Disclaimer of Warranties
Verification obligation. You, the user, are solely responsible for verifying the accuracy and safety of all calculations and recommendations before relying on them — particularly those relating to chemical application rates, fertilizer mixes, and grain handling. Reliance on any Service output without independent verification is at your own risk.
13. Limitation of Liability
This limitation explicitly includes, without limitation:
- Crop failure, damage, or loss of yield.
- Damage to soil, equipment, livestock, or property.
- Environmental damage or regulatory fines.
- Financial losses, loss of profits, or loss of data.
- Damages resulting from errors, inaccuracies, or bugs in the Service's calculations, including incorrect chemical application rates, tank mix errors, or unit conversion errors.
- Service interruptions, data loss, or failure of backup systems.
Your reliance on any information provided by the Service is strictly at your own risk.
14. Indemnification
You agree to indemnify, defend, and hold harmless Farm Base, its operators, developers, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third party's rights.
15. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Province of Saskatchewan and the federal laws of Canada applicable therein, without regard to conflicts of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Saskatchewan, Canada, and the parties irrevocably consent to personal jurisdiction and venue there.
16. Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date above and, where appropriate, by an in-app announcement or email to your registered address. Your continued use of the Service after any change constitutes your acceptance of the revised Terms.
